Who we serve

For solicitors acting on a sale. The IT and records enquiries, answered before they are raised.

On a sale already under way, the Sale-Ready Check and the review put the evidence for the domain names, the email, the website and the admin logins in the data room: who holds each key, and in whose name. The legal fixes it turns up stay with you.

To talk it through, ring Mal Murphy on 07830 879318, weekdays, 9am to 5pm.

The enquiries it answersdue diligence
  1. “Please provide details of all domain names of which the Company is the applicant or registrant.”1

Each web address, who runs it and whether it answers; the account behind it confirmed with the owner on the review call.

  2. Whether the Company “is dependent on any third party for the maintenance of any element of the Computer System”.1

The email platform, the web host and the DNS host by name, and any admin account still held by a former supplier.

  3. “Confirmation that all such intellectual property is owned by the Company.”2

The website's copyright and the brand flagged for your assignment, where they apply.

  4. “Establish who holds domain, tenant and root credentials, and how you will secure them at completion.”3

Recorded on the call, key by key, with the handover plan for completion.

Enquiries quoted from published questionnaires and checklists, with sources at the foot of the page.
  • 4 to 10 weeksfrom the initial request list to agreed due diligence findings.4
  • The final fortnight“Leaving IT diligence until the final fortnight forfeits the negotiating leverage that findings create.”3
  • 149 daysto Monday 5 April 2027, the last completion day under the £1 million limit. 101 of them are working days.5
  • 23 Nov 2026the last day for a complete FCA change-in-control notice to be decided by 5 April if the FCA takes its full 60 business days plus 30 more: aim earlier.6

Whose work it is

The legal fixes it turns up are yours.

Each item on a client's page names who fixes it, so nothing lands on your desk that is the accountant's job, and nothing that is yours goes elsewhere.

The seller's solicitor

  • Trade mark assignment, where the brand is registered in a person's name
  • Written assignment of the website's copyright from the agency that built it
  • The landlord's consent on an asset sale, or a change-of-control clause in the lease on a share sale
  • The lender's release and the MR04 at completion
  • Regulator approval where the sector needs it
  • The sale agreement itself

The seller's accountant

  • Identity verification of directors and people with significant control (as an Authorised Corporate Service Provider, or guiding them through gov.uk)
  • Late or missing accounts and confirmation statements
  • Old charges still registered that were repaid years ago: satisfy them at Companies House
  • A register of people with significant control, and director records, that do not match reality
  • Dormant or wrongly filed accounts while the business trades
  • The management accounts and tax computations the buyer will ask for

Bondstone, in the review

  • Who actually controls the web address, and moving it into the company's name
  • Email and hosting: who holds the admin logins
  • Admin accounts in a former supplier's or employee's name
  • Payment and software accounts held outside the company
  • The handover report for the data room

The seller's IT provider

  • The email lock-down that tells inboxes to refuse email faked in the company's name, set with the DNS login. Or we set it up for £295.

Your standing list, each marked “if it applies”

  • LeaseOn an asset sale the landlord's consent to assign the lease; on a share sale, a check of the lease for a change-of-control clause.
  • Website copyrightWithout a written assignment, the agency that built the site owns its copyright. One letter fixes it.
  • Trade markIf the brand is registered at the UK IPO in a person's name, it is assigned to the company before completion. We search the IPO register by hand in the review.
  • Lender's releaseAny outstanding charge is satisfied at completion: the lender's release, then the MR04, the form that records the charge as satisfied at Companies House. Ask for the redemption statement four weeks ahead.

The clocks

The clocks that bind completion

Counted back from Monday 5 April 2027, the last completion day under the £1 million limit. Exchange is normally the disposal date (TCGA 1992 s.28), but under the policy paper's rules for “unconditional but uncompleted contracts before 6 April 2027” the gain “will be subject to the £500,000 lifetime cap unless” the parties can show the contract was not entered into for the tax advantage of the timing rule. So completion is the date to plan for.

What has to happenLatest safe start
FCA change in controlIf the company is FCA-authorised: a complete notice to the FCA, which has 60 business days to assess it, plus up to 30 more if it asks questions. CQC or OfstedAn asset sale needs a new registration; a share sale keeps the existing one.No fixed clock: months. From a standing start, plan a share sale

On a live matter

Time saved, not commission

We offer solicitors no referral fee. The point is the weeks it saves between the request list and agreed findings.

  1. Ask Mal to ring

Give him the web address of the business you act for; a client's name is never needed. He runs the check while you are on the phone.

  2. A page for the data room

What the buyer's first list will raise, item by item, with who fixes each one and the dates, as a page and an A4 PDF.

  3. The review for the keys

One call on a shared screen with the owner, then the handover report for the data room and your replies to enquiries.

Questions

Is this legal advice?

No. It uses public records and, in the review, the accounts the owner logs in to. Each legal item it turns up is flagged for you, marked “if it applies”.

Can the report go in the data room?

Yes. Every client page prints as an A4 document with its date and where each item was found.

Does the review need the seller's passwords?

No. The owner logs in to their own accounts on a shared screen, and we never take passwords.

Do you pay referral fees to solicitors?

No. The client books the review direct at £2,500, or through their accountant at the trade price.

How quickly can it be done on a live matter?

The check takes about a minute. The review is one call, booked by Mal around the owner, and the handover report follows within two working days of it.
